| |  James C. Shook, Jr. Title: Chairman of the Board President of Coldwell Banker Commercial Realty Services, Indianapolis, Indiana, and Managing Member of Maquina Realty Corporation, a shopping center investment and development company. Mr. Shook has served as a director of NBD Bank, Northwest, and the Salin Bank & Trust Company, where he served on the Audit Committee. Mr. Shook also serves as a trustee for North Central Health Services, Inc., the Camping & Education Foundation, and the Indiana Historical Society. |

| |  John J. Dillon Title: Asset/Liability Committee Chair John J. Dillon, 47, is currently serving as an Executive Vice President of City Securities Corporation, an investment firm headquartered in Indianapolis. From 2006 to 2007, Mr. Dillon served as the Chief Deputy Mayor and Chief of Staff to the Mayor of Indianapolis. He was a private business consultant and Chairman of the Indianapolis Bond Bank from 2000 to 2006. Prior to that, Mr. Dillon served as the Chief Operating Officer of Standard Management Corporation from January 2002 to March 2003. Mr. Dillon also served as Chief Administrative Officer and Senior Vice President of MSE Corporation and ASI Corporation, each civil engineering firms, from 1997 until their sale in 2000. Mr. Dillon was the Indiana Insurance Commissioner from 1989 to 1991. Mr. Dillon also serves as a director of the Indiana University School of Medicine. |

| |  Gregory G. Gault Title: Chief Operating Officer, Chief Credit Officer and Director Greg has sixteen years of experience in the banking industry. Mr. Gault spent two years as a Regulatory Analyst with the Federal Home Loan Bank Board (predecessor to the Office of Thrift Supervision). During the ten years Mr. Gault spent with a large regional bank, he held positions in credit administration, cash management, and commercial lending. His last position was business unit manager for small business lending in the Indiana market. Gault spent a year and a half in commercial lending for a privately held community bank and from March, 2001 until January, 2003, served as Chief Credit Officer. Mr. Gault serves on the Indiana Statewide Certified Development Corporation Central Loan Committee, and is a director of the Indianapolis Arts Center and the Friends of Garfield Park. |

| |  James A. Hillebrand Mr. Hillebrand is President of Stock Yards Bank & Trust Co. and S.Y. Bancorp, Inc. He has been active in a number of civic and community service organizations. He currently serves as the Vice Chairman of the Kentucky Derby Festival Board and is on the Board of Kentucky Derby Festival Foundation. |

| |  Beverly J. Middaugh Title: Compensation Committee Chair Beverly is the Chief Executive Officer of Bright Ideas in Broad Ripple, Inc., a specialty advertising sales firm she founded in 1983. Bright Ideas is a woman-owned business certified by the City of Indianapolis and State of Indiana. The company has received the U.S. Chamber of Commerce’s Blue Chip Initiative Award and is a three year member of the Indianapolis University School of Business’ Growth 100 program. Bright Ideas is involved in numerous other business and philanthropic organizations. |

| |  Jane E. Nold Shriner Title: Audit Committee Chair Jane E. Nold Shriner is a CPA and Vice President of Finance and Strategic Planning since 2005 for the Indianapolis Symphony Orchestra, the largest performing arts organization in the state of Indiana. Prior to that time she was engaged in consulting in the areas of financial reporting, management information systems and project management. Ms. Shriner was the Chief Financial Officer of The Marina Limited Partnership, a publicly traded partnership specializing in real estate development, marina operations and utility operations from 1989 to 1997. Ms. Shriner began her career at KPMG LLP in the audit and tax departments. She also served on the Advisory Board for Big Sisters of Central Indiana for two years, after serving on the Board of Big Sister for six years. |

| |  Robert S. Wynne Title: Director’s Loan Committee Chair Mr. Wynne is a partner in the Indianapolis law firm of Baker & Daniels, and a member of the firm’s Strategic Policy Board, a firm in which he has practiced in the area of commercial law and lending, corporate finance, and mergers and acquisitions, since joining the firm in 1985. Mr. Wynne has a B.A. from DePauw University, an M.B.A. from the Graduate School of Business at Indiana University, and a J.D. from the Indiana University School of Law (Bloomington, Indiana). Mr. Wynne serves on numerous boards and was named one of “The Best Lawyers in America 2006 – 2007.” |

| |  James S. Young Title: President, Chief Executive Officer and Director James has more than twenty years of experience in the banking industry. During the fourteen years Mr. Young spent with a large regional bank, he held positions in retail and commercial lending. His last position was business unit manager for middle market lending in the Indiana market. Mr. Young spent four years in commercial lending with a privately held community bank, the last two of which were spent as the Director of Commercial Banking. He is also a director of Behavior Corporation in Carmel, Indiana.

| |  J. Murray Clark Mr. Clark is a partner in the Indianapolis law firm of Baker & Daniels. He is a graduate of Kenyon College and the Indiana University School of Law. He served in the Indiana Senate from 1994 through 2005. He presently serves as the Chairman of the Indiana Republican Party. Mr. Clark also serves on various civic and philanthropic boards, including the Indianapolis Foundation and the Central Indiana Community Foundation, and has received numerous awards for his professional and civic achievements. |

| |  Patrick J. Early Mr. Early has served as the President of Somerset CPA’s, a 120 person CPA firm headquartered in Indianapolis, since 1989. In addition to his role as CEO of one of the larger CPA firms in Indianapolis, Mr. Early has been prominent in Indianapolis civic organizations. From 1993 to 1999, Mr. Early was President of the Marion County Capital Improvements Board and presided over the design, construction, and financing of Victory Field and Conseco Fieldhouse. Since 2000, Mr. Early has served as Vice President of the Capital Improvements Board. In addition to public service, Mr. Early has been active in the leadership of various local youth organizations and organizations focused on promotion of amateur athletics. Mr. Early is a 1979 graduate of Purdue University and is a Sagamore of the Wabash. |

| |  Thomas Godby A native of Indiana, Thomas spent the majority of his business in the mechanical contracting industry. He was the founder and President of Godby Brothers, Inc., a mechanical contractor serving central Indiana. Mr. Godby was also President of Godby Rental, a national provider of power distribution and mechanical services to the special event industry. He positioned his business for sale to American Residential Service Companies, a national business consolidator, in 1997. Mr. Godby is currently President of Godby Enterprises, a property management company. In 2004 Mr. Godby started Godby Mechanical Contracting and serves as its President. Mr. Godby is also Chairman of the Board of PTS Medical Diagnostics, a medical device company selling products worldwide. Mr. Godby has a strong background in introducing and marketing new products and has been actively engaged in assisting early stage and startup companies with development of business plans, obtaining financing, executive staffing, and business development. Mr. Godby serves on many boards of community service organizations in central Indiana. |

| |  Thomas Killion Mr. Killion has served as the President of Killion Corp. since 1985. Mr. Killion also serves as the President of Killion, LLC, The Twisted Pen Factory.com, and 123 Marketing Specialties, a manufacturer and supplier to the promotional products industry. Mr. Killion began his career in Indianapolis in 1970 as a secondary education teacher and within six years had developed the largest secondary education plastics program in the United States. By 1979 Mr. Killion had developed and manufactured the Bentcil and Inkbend writing instruments. Mr. Killion is an inventor and holds multiple patents and has received numerous professional awards. Killion Corp. sells millions of Bentcils each year in the United States, Canada, Hong Kong, and South Korea. |

| |  Richard D. Kruse Richard has over 40 years’ experience in a variety of agricultural, real estate, and transportation service businesses. Mr. Kruse owns and operates 1,000+ acres of land near Ladoga, Indiana. Mr. Kruse has made venture capital investments in a variety of budding enterprises over the past 15 years. He is co-trustee, with his wife Katherine, of the Mothershead Foundation, which makes gifts to not-for-profit organizations located primarily in central Indiana. He currently serves on the Farmhouse Fraternity International Foundation Board, the Dean’s Advisory Council at Kansas State University, and the Endowment and Finance committees at Second Presbyterian Church in Indianapolis. |

| |  Brian E. Moore Brian is a Registered Professional Engineer and has worked in sales and engineering for the last twenty years. From 1989 until 1996, Mr. Moore worked for Indiana Limestone, which mines and fabricates Indiana limestone. In 1996, he acquired the company with a partner. Indiana Limestone was sold in 2003 but Mr. Moore has stayed with the firm as a vice president. Mr. Moore is licensed pilot. He also serves on the board of the United Pentecostal Church in Bloomington, Indiana. |

| |  Vop Osili Mr. Osili established A2SO4 Architecture in 2001 after spending six years developing properties in downtown Indianapolis. Prominent A2SO4 projects include work on the Indianapolis Urban League Building, the new Indianapolis Midfield Terminal and Garage, the new Lucas Oil Stadium, and currently a number of new developments in Abu Dhabi in the United Arab Emirates. Mr. Osili presently serves on the Children’s Museum Board of Trustees and as Chairman of the Department of Metropolitan Development’s Board of Zoning Appeals III. He is a 1986 graduate of Carnegie-Mellon University and received a Master of Science in Architecture and Urban Design from Columbia Unversity in 1990. |

| |  Meghan Otis Meghan is a principal of Waveland Investments, a Chicago-based private investment firm. Ms. Otis previously worked at Goldman, Sachs & Co. in their fixed income division and at LaSalle Partners (now Jones Lang LaSalle), an institutional real estate and services company. Mr. Otis received her M.B.A. from Harvard Business School and a Bachelor of Arts in Mathematics from Northwestern University. |
